Terms of Service

The agreement between you and PrizMova.

These Terms of Service ("Terms") govern your access to and use of the PrizMova platform, website, APIs, and related services (collectively, the "Services") provided by PrizMova, Inc. ("PrizMova," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Services, you represent that you are at least 18 years old and have the authority to bind the organization you represent ("Customer") to these Terms. If you do not agree, do not use the Services.

2. The Services

PrizMova provides an AI-powered insurance agency management system including client management, policy lifecycle management, claims processing, financial tools, compliance features, AI assistant (ARIA), document management, reporting, and related functionality. The specific features available depend on your subscription plan.

We may update, modify, or discontinue features of the Services from time to time. We will provide at least 30 days' notice before discontinuing any material feature included in your subscription plan.

3. Accounts & Access

Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Team Access

The account administrator may invite team members and assign roles (Admin, Producer, CSR, Viewer). You are responsible for ensuring team members comply with these Terms.

API Access

API keys are provided for programmatic access. You are responsible for securing your API keys and are liable for all API usage under your keys. Compromised keys should be revoked immediately via your account settings.

4. Data Ownership

Your data is yours. You retain all rights, title, and interest in and to your agency data, client records, policy information, and any other data you input into the Services ("Customer Data").

  • We process Customer Data solely to provide and improve the Services
  • We do not sell, rent, or share Customer Data with third parties for their own purposes
  • We do not use Customer Data to train AI models
  • You can export your data at any time via the API or built-in export features
  • Upon termination, we will make your data available for export for 30 days, then permanently delete it within 90 days

5. Subscriptions & Billing

Plans

The Services are offered under Starter, Growth, and Enterprise plans as described on our Pricing page. Features and limits vary by plan.

Billing

  • Subscriptions are billed monthly or annually in advance
  • Annual subscriptions receive a discount as listed on the Pricing page
  • All fees are in US dollars and exclusive of applicable taxes
  • We use Stripe for payment processing. By providing payment information, you authorize recurring charges

Free Trial

New accounts receive a 14-day free trial of the Growth plan. No credit card is required. At the end of the trial, you must select a paid plan to continue using the Services.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes

We may change pricing with at least 60 days' notice. Price changes apply at the start of your next billing cycle after the notice period.

6. Service Level Agreement

We commit to the following for Growth and Enterprise plans:

  • Uptime: 99.9% monthly uptime for the core platform (excludes scheduled maintenance)
  • Scheduled maintenance: performed during low-traffic windows with at least 48 hours' notice
  • Incident response: critical issues acknowledged within 1 hour, resolved within 4 hours
  • SLA credits: if we fail to meet the 99.9% uptime commitment, affected customers receive service credits equal to 10x the downtime as a percentage of monthly fees

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of insurance regulations
  • Attempt to gain unauthorized access to any part of the Services or other users' data
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use automated means to scrape, crawl, or extract data from the Services beyond authorized API use
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt the integrity or performance of the Services
  • Share your account credentials or API keys with unauthorized parties
  • Exceed the rate limits or usage quotas for your plan

8. Intellectual Property

The Services, including all software, algorithms, designs, documentation, and branding, are owned by PrizMova and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Services during the subscription term.

You may provide feedback, suggestions, or feature requests. You grant us a perpetual, royalty-free license to use such feedback to improve the Services.

9. Termination

Either party may terminate these Terms:

  • For convenience: by canceling your subscription via account settings
  • For cause: if the other party materially breaches these Terms and fails to cure within 30 days of written notice
  • Immediately: if required by law, or if you violate the Acceptable Use policy

Upon termination, your right to use the Services ceases. Data export and deletion follow the schedule described in Section 4.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PrizMova's total liability for any claims arising under these Terms shall not exceed the fees paid by Customer in the 12 months preceding the claim
  • Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages
  • The Services are provided "as is" without warranties of any kind, express or implied, except as expressly stated in the SLA

PrizMova is a technology platform, not an insurance company or broker. We do not provide insurance advice. You are responsible for ensuring your use of the Services complies with applicable insurance laws and regulations.

11. Indemnification

You agree to indemnify and hold harmless PrizMova from claims arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) your Customer Data.

12. Dispute Resolution

These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Any disputes shall first be addressed through good-faith negotiation. If unresolved after 30 days, disputes shall be settled by binding arbitration in Plano, TX under the rules of the American Arbitration Association.

13. General Provisions

  • Entire agreement: these Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement
  • Severability: if any provision is found unenforceable, the remaining provisions remain in full force
  • Assignment: you may not assign these Terms without our prior written consent
  • Waiver: failure to enforce any provision does not constitute a waiver
  • Notices: we may send notices via email to your account address or through the Services
